What is the International Association The IAPBD is an international group of experienced, professional brochure distribution companies whose focus includes, but is not limited to, the tourism industry. Our members share common interests in the practices, procedures and problems unique to our industry, and are guided by a common code of ethics. The goal of the Association is to foster the delivery of services to our brochure-advertising clients with Integrity, Quality and Results. In 2002, IAPBD members provided brochure service to 36,000 displays and collectively distributed 600 million brochures. In 2003, the Association completed its second member-sponsored research project. The results will be published in early 2004.

Definition: A member shall be an organization or individual who adheres to the purposes of the Association and meets the criteria for membership as stated below. Membership in the Association requires the personal participation of the principal(s) or officer (s) of the member's organization named in the application in daily operation of the member's business. Section 2. New Members: Application for membership shall be filed with the Membership Committee of the Association on such forms as that Committee may adopt for that purpose. Said Committee shall make such investigation as it may deem proper as to the business, financial responsibility and reputation of the applicant. So long as the applicant satisfies the membership requirements set forth in Article II, Section 3 of these By-Laws and provided that the applicant's application and the Membership Committee's review of the application does not disclose that the applicant's business background or that of it's principals is inconsistent with the standards of the good business conduct required of members, the applicant will be approved for membership in the Association. Section 3. Qualifications for Membership: The Membership Committee shall review all applications for membership to ensure that the individual or entity applying for membership meets the criteria as set forth below. The Membership Committee may recommend changes to these criteria at any Annual Meeting by circulating the proposed changes to members at least thirty (30) days prior to the Annual Meeting and requesting a vote to approve same at the meeting. b) Applicant must have a minimum of 150 distribution locations, with an average minimum of twenty (20) pockets per rack within it's distribution network. c) Applicant must provide evidence that 90% of those locations have applicant-owned display racks, which are being serviced by applicant employees, in person, on a regular minimum basis of one time per month during the applicant service season. d) Neither applicant nor any of it's principals or officers shall (I) have been found to have violated any of the United States federal anti-trust laws, by any court, administrative or a regulatory agency (including the United States Department of Justice or Federal Trade Commission) (ii) have been convicted of a criminal offense (other than misdemeanor traffic violations) or (iii) have had more than three (3) complaints or allegations of unfair deceptive or manipulative business practices or conduct filed against them with the Better Business Bureau or any similar entity or any court or other regulatory or administrative body. Section 5. Change of Ownership Interest: In the event of a change of ownership of a member firm which results in the transfer of 25% or more of the control of the firm (either by shares in the case of a Corporation or partnership interest in the case of a partnership), transfer of membership in the Association is not automatic. The new ownership must file a completed application form together with a non-refundable Transfer Application Fee of $250 within sixty (60) days of the date of Acquisition. The Membership Committee shall review the qualifications and background of the new Owner/Partner and report to the President within 120 days as provided in Article IV, Section 3c. The Initiation Fee will be waived in the event of Transfer of Ownership Interest. |
